Review type
Insider dealing review
A written reading of recent director and substantial-holder dealings set against the company’s concurrent filings.
Who this is for
Equity analysts, portfolio managers, and research desks who have spotted a cluster of insider transactions and need someone to sit with the filings before the morning note goes out.
What you receive
- A dated timeline of the insider dealings in scope (buys, sells, gifts, pledges where disclosed)
- Side-by-side notes against earnings releases, material event notices, and prospectus or circular language that overlaps the same window
- Flags for missing fields, delayed filings, or wording that sits oddly with the trade pattern
- A short “desk use” section: what is known, what is still opaque, and what we would not stretch into a thesis
What is included
Public filings and notices you nominate (or that we agree in the kickoff email). We read in English and, where relevant for Thai-listed issuers, Thai-language disclosures with bilingual notes in the brief.
What is excluded
We do not provide investment advice, trading recommendations, or legal opinions on whether a person has breached insider dealing rules. We do not contact company IR unless you ask us to and they agree.
How we work
- Intake — issuer, exchange, date window, and why the signal matters to you
- Document pull — filings and notices for that window
- Cross-read — dealings versus narrative filings
- Brief — delivered as a PDF; optional 30-minute clarification call
Preparation
Send any internal notes you already trust, plus links or document IDs for the filings you care about most. If the window is short and a filing is imminent, say so up front.
Constraints
Coverage is limited to publicly available disclosures. Private tips, rumour, and non-public material are out of scope. Turnaround may extend when filings are incomplete or poorly scanned.
Next step
Request this review with the issuer and date window. We confirm scope and fee before work begins.
